Key commercial considerations
Confirm each party's legal status and whether any third parties (such as group affiliates) will benefit from the proposed agreement.
Confirm proposed commencement or effective date.
Confirm whether the proposed agreement will be a fixed-term or rolling contract. Identify notice periods. Also consider the duration of the proposed agreement. | Typically one would not expect a web advertising agreement to be for a long fixed-term duration, maybe on a rolling monthly basis.
Confirm if there are any preconditions which must be satisfied before the proposed agreement can take effect. | For example, this might involve completion of design work, agreement on the form of advertising copy and / or marketing plan.
Confirm nature of any early termination rights. |
