The purpose of a further assurance clause is to ensure that one or both parties to an agreement carry out all actions and execute all documents required to give gull effect to the agreement. It is a particularly useful clause if it is known that there will be a number of steps to be taken following signature of the agreement.
1 Further assurance
1.1 Each of the parties shall, at its own cost and expense, OR , at the request, cost and expense of the other party, [use its reasonable endeavours to] perform all acts, and sign, execute and deliver all deeds and documents, as may be [reasonably] required for the purpose of giving full effect to this agreement [and shall [use its reasonable endeavours to] procure that necessary third parties shall also do so].
