These suggested articles are intended for insertion into existing articles of association, which are likely to require amendment to allow for the holding of electronic general meetings, including annual general meetings. In addition to the core clauses set out in this Precedent, the articles should be carefully reviewed throughout to ensure that any references to the form, or location (ie ‘place'), of a general meeting are amended to refer, where the context requires it, to the ‘place or electronic platform...' or such other wording as is necessary to capture the holding of physical and electronic meetings. Articles which might require this minor amendment include those relating to quorum, adjournment, chair's powers, method of voting and notice of a poll vote.
