FOUNDING MEMBERS' RESOLUTION

WHEREAS, the Founding Members wish to dissolve the Association;

The Founding Members RESOLVE that:

1. It is in their best interest for the Association to be dissolved, liquidated, and no longer exist as a separate legal entity;

2. As at the Effective Date, [Insert name(s) of the liquidator(s)] of [name of firm] be appointed as the liquidator(s) of the Company for the purpose of winding up the Company's affairs and distributing its assets; and
