Execution Clause - Administrator - Contract

These precedent execution clauses are for a company's administrator to enter into a simple contract on behalf of a company (rather than in their personal capacity - see Precedent: Execution Clause - Administrator (Personal Capacity) - Contract). This precedent includes three alternative clauses. Once an administrator has been appointed over a company, the directors of that company cease to have any capacity to enter into contracts. An administrator acts as agent for the company and so generally will not incur personal liability in relation to contracts or deeds entered into on behalf of the company. However, out of prudence, most documents signed will be stated to be without personal liability.
Option 1—contract signed by administrator on behalf of the company
