Under Turkish law, there are two common structures for real-estate-related business combinations: asset deals and share deals. In an asset deal, the purchaser directly acquires the ownership of real property, whereas in a share deal, the purchaser acquires the shares of a company owning the target real property. In this regard, a share deal is only possible if the owner of the target real property is a legal entity.
