Good faith in negotiatingIs there an obligation to use good faith when negotiating a contract?>>🔗
In the legal system of Iran, and mainly the Civil Code , enacted in 1928 and subsequently amended several times, which serves as a foundational legal document that governs various areas of private law, there is no specific law or regulation regarding the requirement of good faith in pre-contractual negotiations, and the principle of good faith has not been explicitly recognised as a general rule in Iranian law. However, the absence of an explicit general provision on the requirement of good faith does not necessarily deny or completely negate its existence in Iranian law, as there are examples of references to good faith in provisions of insurance laws or electronic transactions regulations. For example, article 35 of the Electronic Commerce Act 2004 mandates that providing and confirming information to consumers must be made based on the principle of good faith in transactions.
