In Oman, corporate entities generally fall into two principal categories namely a limited liability company (LLC) and a joint stock company. The joint stock company is further subdivided into closed and public types. Notably, the LLC remains the most prevalent form of corporate organisation, particularly favoured by foreign investors due to the expedited formation process and the comparatively modest capital requirements. Each entity is discussed below.
Limited liability company
Composition and liability: A LLC may be established by a minimum of two and a maximum of 50 natural or juridical persons. The liability of each partner is strictly confined to the extent of their respective share in the company's capital.
Capital and share structure: The capital must be expressly specified in the constitutive documents and subdivided into shares of uniform nominal value. Contributions to the capital, whether in cash or in kind, are acceptable, however, contributions in the form of labour or services are expressly excluded.
