Amberberg Limited and Prime Financial Solutions LLC v Thomas Fewtrell, Nigel Perera and Louise Kidd
This case involved a warranty signed by the defendants to disclose any material financial or legal liabilities up to the time of a company share sale and purchase agreement was concluded. It was claimed a liability to an individual who had lent money to the company had not been properly disclosed and had been confirmed in another court case. Issues of directors' responsibilities and forgery were also considered.
Background
This was a claim for damages arising from an alleged breach of contract by the Defendants. The First Claimant, Amberberg Limited was a company registered in the British Virgin Islands. It was represented at all times by its director and sole shareholder Mr Rudolfs Veiss, a Latvian national who was a resident in the State of Qatar. The Second Claimant, Prime Financial Solutions LLC, formerly known as International Financial Services (Qatar) LLC (IFSQ), was registered in the Qatar Financial Centre. The First Defendant was Mr Thomas Fewtrell, the Second Defendant was Mr Nigel Perera, and the Third Defendant was Ms Louise Kidd, who was married to Mr Fewtrell. The Fourth Defendant was Mr Christopher Ivinson.
