Background
An employee filed a case against a company and another defendant requesting that the court validate his right as member of the company's board of directors and order the company to pay him 50000 Egyptian Pounds in compensation. The employee stated that he had been elected to the board of directors as an employee representative, but he had not been called to attend any board meetings.
The court rejected the case.
The employee appealed and the appeal court ruled that the employee should be considered a permanent member of the board of directors and that the company pay him 30000 Egyptian Pounds in compensation.
The company appealed by cassation.
Decision
Before the cassation court, the company argued that the ruling had erred in the application of law stating that Article 30 of the Law of the Bureau of Public Sectors, Egypt Law No. 97/1983 stipulates that the number of members of a board of directors should be an odd number.
