Company – Shareholders – General Assembly
This case involved a request by a shareholder to cancel a general meeting of a bank and the decisions taken at it. The shareholder was not able to take this case as they had been present at the meeting and had failed to make an objection there
Background
A claimant filed a case against a bank and two defendants before the court requesting the cancellation of the meeting of the general assembly of a bank and its decisions. The claimant said that the bank had held a general assembly meeting on 11/05/2005 and another meeting one hour after, although the later meeting was invalid because it did not meet the regulations in this regard. The claimant said that the decisions adopted by the later meeting caused him and other shareholders damage.
The court ruled that the meeting and its decisions should be cancelled.
The bank appealed the ruling before the court of appeal. The court upheld the appealed ruling.
