Partnership – Company – Liquidation – General Assembly – Company Contract
This case involved the liquidation of a company. The majority of the partners had agreed to the company's liquidation in line with the company contract so one of the partners could not block this.
Background
Some claimants filed a case against the defendants before the civil court requesting the dismissal of the first defendant who had refused the liquidation of a disputed company and the appointment of the fifth defendant as a liquidator under the decisions of the company's general assembly.
The court dismissed the case.
The claimants appealed the ruling before the court of appeal. The court dismissed the appealed ruling on the acceptance of the case against the fourth and fifth defendants and upheld the appealed ruling.
